Terms of Service
Last updated November 2, 2026
1. Agreement to these terms
By using this website, you agree to these terms. If you do not agree, please do not use the site. These terms apply to the website and to inquiries submitted through it. Coordination services are governed by a separate written services agreement with the agent or brokerage engaging the service.
2. What the service is
Wasatch & Coast provides administrative real estate transaction coordination: file setup, deadline tracking, document collection and organization, communication with authorized transaction participants, and compliance file preparation.
We are not a law firm, brokerage, title company, escrow company, or lender. We do not provide legal, tax, lending, or investment advice. We do not make legal determinations about which forms, disclosures, or contract terms apply, and we do not act as an agent of record or represent any party to a transaction.
3. Submissions do not create an agreement
Submitting a contact request or a transaction intake form does not create a service agreement, does not reserve capacity, and does not obligate either party. Coordination begins only after the scope, package, rate, and terms are confirmed in writing and accepted by both parties.
4. Fees and payment
Fees are stated in the written rate sheet or proposal provided before work begins. Per-file fees are invoiced according to that sheet, typically at setup or at closing. Retainer arrangements are invoiced monthly. Work outside the agreed scope is quoted separately and requires written approval before it begins.
Where a transaction is cancelled, completed work to the date of cancellation is billed as described in the rate sheet.
5. Agent and broker responsibilities
- Advise clients and make all representation, negotiation, and disclosure decisions.
- Determine which forms, disclosures, and contract provisions apply, with the broker or attorney as appropriate.
- Review and approve documents before they are sent to third parties.
- Verify every deadline and contractual date before relying on it.
- Maintain the licenses, insurance, and supervision required by the brokerage and the state.
6. Deadlines and verification
Administrative deadline calendars are working tools built from the documents provided. They are not a guarantee that any date is correct, and they do not replace the contract or the agent's own review. Every deadline should be verified by a responsible person before it is relied upon. Calendar entries may need to be updated when addenda, amendments, or extensions change the contract.
7. Documents and confidentiality
Transaction information is treated as confidential and shared only with authorized parties and service providers involved in delivering the service, subject to the Privacy Policy. Documents should be transmitted through the controlled channels established at onboarding rather than unencrypted email attachments containing sensitive personal information.
8. Acceptable use
- Do not submit information you are not authorized to share.
- Do not use the site to transmit unlawful, misleading, or harmful content.
- Do not attempt to access systems, accounts, or records you are not authorized to access.
- Do not scrape, copy, or republish site content for commercial use without permission.
9. Intellectual property
The content, copy, layout, and branding on this site are owned by Wasatch & Coast Transaction Coordination and may not be reproduced commercially without written permission. Educational articles may be referenced with attribution and a link.
10. Disclaimers and limitation of liability
The site and its content are provided on an "as is" basis without warranties of any kind, express or implied, including accuracy, completeness, or fitness for a particular purpose. Educational content may become outdated as state requirements change.
To the maximum extent permitted by law, Wasatch & Coast Transaction Coordination is not liable for indirect, incidental, special, consequential, or punitive damages arising from use of this website. Liability arising from coordination services is governed by the written services agreement.
11. Governing law
These terms are governed by the laws of the State of Utah, without regard to conflict of law principles. Any dispute relating to the website will be brought in the state or federal courts located in Utah.
12. Changes
These terms may be updated as the business changes. The date at the top of this page reflects the most recent revision, and continued use of the site after an update constitutes acceptance of the revised terms.
Questions about this page can be sent to closingswithsidney@gmail.com or raised by phone at (435) 632-2396.
These terms are provided for website use and general scope. A signed services agreement, where one exists, controls the delivery of coordination services.
